Terms & conditions
Template text to adapt with your legal adviser. Items in [brackets] need your company details.
These general terms apply to every project Odd Hours takes on, unless a signed proposal says otherwise. If the two disagree, the proposal wins.
1. Who we are
Odd Hours is operated by [Company legal name], [registered address], tax number [NIF / CVR]. Contact: hello@oddhours.studio.
2. Proposals and scope
Each project starts with a written proposal that sets out the scope, timeline and fees. Work outside that scope is quoted separately before we start it.
3. Fees and payment
We invoice 50% to start and 50% at launch, unless the proposal sets another schedule.
Invoices are due within 14 days.
Prices exclude VAT, which is added where applicable.
We may pause work if an invoice is more than 30 days overdue.
4. Your part
You give us timely feedback, one main point of contact, and the content and access we need. Delays on your side can move the timeline.
5. Revisions
Each phase includes the rounds of revisions set out in the proposal. Extra rounds are billed at our day rate.
6. Ownership
Once all invoices are paid, you own the final deliverables we create for you. Concepts you didn’t choose stay with us. Third-party items such as fonts, stock images or software remain under their own licences, which you may need to buy. We may show the work in our portfolio unless we agree otherwise in writing.
7. Confidentiality
We keep your business information confidential and only use it to deliver the project.
8. Liability
Our total liability for a project is limited to the fees you paid for it, except where the law doesn’t allow this limit. We are not liable for indirect losses such as lost profit.
9. Ending a project
Either side can end a project with 14 days’ written notice. You pay for work done up to that point, and we hand over the work completed so far once it is paid.
10. Using this website
The content on oddhours.studio belongs to Odd Hours or our clients. You may share links to it, but please don’t copy it without permission.
11. Law and disputes
These terms are governed by the laws of [Portugal]. Any dispute goes to the courts of [Lisbon], unless consumer law gives you another option.
